Welcome to Openminder Labs ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our Gideon service (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please refrain from using the Service.

1. Acceptance of Terms

By using the Service, you affirm that you are at least 18 years old, or possess legal parental or guardian consent, and are fully able and competent to enter into and comply with these Terms. Continued use of the Service indicates your acceptance of any changes to these Terms.

If you provide feedback or suggestions about our Service, you acknowledge that we may use such feedback without any obligation to you and without compensating you.

6. Third-Party Integrations

Gideon integrates with various third-party services to enhance functionality and provide you with a comprehensive experience. These integrations may include, but are not limited to:

• Google Workspace (Gmail, Calendar, Drive, Docs, Sheets, etc.)
• Calendly
• Notion
• Other productivity and business tools

6.1 Authorization and Access

By connecting third-party services to Gideon, you authorize us to access your data from these services solely for the purpose of providing our Service to you. You represent and warrant that you have the necessary rights and permissions to grant us this access.

6.2 Data Handling

We do not store data from third-party services on our servers. All data accessed through these integrations is processed temporarily and in real-time to provide the requested functionality. Your data remains with the respective third-party providers and is subject to their privacy policies and terms of service.

6.3 Compliance with Third-Party Terms

Your use of third-party integrations through our Service is subject to the terms of service and privacy policies of those third-party providers. You agree to comply with all applicable third-party terms, and you acknowledge that any violation of such terms may result in the suspension or termination of the respective integration.

6.4 Availability and Functionality

We do not guarantee the continuous availability of third-party integrations. These services may be modified, suspended, or discontinued by their respective providers at any time, which may affect the functionality of our Service. We are not responsible for any issues arising from changes to third-party services.

7. Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose or to solicit others to unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances

To the fullest extent permitted by applicable law, in no event shall Openminder Labs, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from:

• Your use or inability to use the Service
• Any third-party integrations or their unavailability
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service

This limitation applies even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless Openminder Labs, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights, including intellectual property rights
• Your use of third-party integrations through our Service

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part of it) at any time, with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

15. Severability

If any provision of these Terms is deemed invalid, unlawful, void, or unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
